Qurvia, Inc. (“Qurvia,” “we,” “our,” or “us”) welcomes you. These Website Terms of Use (“Terms of Use”) govern your access to and use of our website located at https://www.qurvia.ai/ (the “Website”). Please read them carefully.

By accessing or using the Website, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use and by our Privacy Policy (the “Privacy Policy”), which is incorporated into these Terms of Use by reference (together, the “Agreement”). If you do not agree to this Agreement, you may not access or use the Website.

If you accept or agree to this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement. In such case, “you” and “your” refer to that entity.

We reserve the right, at our sole discretion, to modify or update these Terms of Use at any time. Changes will be posted on the Website. Your continued use of the Website after any changes indicates your acceptance of the revised Terms of Use.

In addition to the Website, Qurvia provides access to its proprietary software-as-a-service (SaaS) platform (the “Platform”), which is subject to separate terms (the “Platform Terms of Use”). If there is a conflict between these Terms of Use and the Platform Terms of Use, the Platform Terms of Use will govern with respect to your use of the Platform.

PLEASE NOTE: THE SECTIONS BELOW TITLED “BINDING ARBITRATION” AND “CLASS ACTION WAIVER” CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT MAY AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY.

1. No Medical Advice

You acknowledge and agree that Qurvia does not, through the Website or otherwise, provide medical advice, medical opinions, diagnoses, treatment, or recommendations regarding the need for medical care. The Website and its content (the “Content”) are provided for informational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment.

Always seek the advice of a qualified healthcare provider with any questions regarding a medical condition. Never disregard professional advice or delay seeking care because of something you have read on the Website. Your use of the Website does not create a doctor–patient or provider–patient relationship with Qurvia.

If you believe you may be experiencing a medical emergency, call 911 or your physician immediately.

2. Use of Personal Information

Your use of the Website may involve the transmission of personal information to us. Our collection and use of personal information are governed by our Privacy Policy, which is incorporated herein by reference.

3. Intellectual Property

The Website and its Content, including without limitation text, graphics, images, software, audiovisual works, and other materials, are the property of Qurvia or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

Except as expressly permitted in this Agreement, you may not:

  • Copy, reproduce, distribute, publish, display, perform, modify, create derivative works of, transmit, or otherwise exploit any Content, in whole or in part, without our prior written consent.

  • Use the Qurvia trademarks, service marks, or logos (the “Qurvia Trademarks”) without our prior written consent.

  • Use third-party trademarks displayed on the Website without the consent of their owners.

All goodwill arising from use of the Qurvia Trademarks will inure to Qurvia’s benefit.

4. Acceptable Use Guidelines

You agree not to:

  • Use the Website for any unlawful purpose.

  • Access or use the Website to conduct market research for a competing business.

  • Impersonate another person or misrepresent your affiliation.

  • Decompile, reverse engineer, or disassemble any part of the Website.

  • Interfere with or disable any security or access features of the Website.

  • Use automated means (robots, spiders, crawlers, etc.) to extract data from the Website, except as permitted by public search engines in compliance with our robots.txt.

  • Introduce viruses, worms, or other harmful code.

  • Overload or interfere with the technical infrastructure of the Website.

We reserve the right, in our sole discretion, to suspend or terminate your access to the Website if you violate these guidelines.

5. Feedback

If you provide feedback, comments, or suggestions regarding the Website (“Feedback”), you grant Qurvia a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, and otherwise exploit such Feedback without restriction or compensation to you.

6. No Warranties; Limitation of Liability

The Website and Content are provided “as is” and “as available.” Qurvia disclaims all warranties, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

To the fullest extent permitted by law:

  • Qurvia shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption.

  • Qurvia’s total liability for direct damages shall not exceed one hundred dollars ($100).

Some jurisdictions do not allow limitations on implied warranties or liability for certain damages, so these limitations may not apply to you.

7. External Sites

The Website may contain links to third-party websites (“External Sites”). These links are provided for convenience only and do not imply endorsement by Qurvia. We are not responsible for the content, availability, or practices of External Sites. Accessing them is at your own risk.

8. Indemnification

You agree to indemnify and hold harmless Qurvia and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your:

  • Violation of this Agreement;

  • Misuse of the Website or Content; or

  • Infringement of third-party rights.

9. Compliance with Laws

The Website is operated from the United States. If you access it outside the U.S., you are solely responsible for compliance with applicable local laws.

10. Termination

We may suspend or terminate your access to the Website, in whole or in part, at any time and without notice, for any reason.

11. Binding Arbitration

Any dispute arising under or relating to this Agreement shall be resolved by binding arbitration under the Federal Arbitration Act (FAA) and administered by JAMS pursuant to its Comprehensive Arbitration Rules.

You and Qurvia waive the right to a jury trial and agree that arbitration may be conducted by submission of documents, telephonically, online, or in person in the U.S. county where you reside.

12. Class Action Waiver

All disputes must be brought on an individual basis. You may not participate in a class action, class arbitration, or representative proceeding against Qurvia.

13. Equitable Relief

In the event of your unauthorized use of Qurvia’s intellectual property, Qurvia may seek injunctive or equitable relief in court, without waiving other remedies.

14. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the State of California, without regard to its conflicts of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in California for enforcement of arbitration awards and equitable relief.

15. Miscellaneous

  • These Terms of Use constitute the entire agreement between you and Qurvia regarding the Website.

  • If any provision is held invalid, the remainder will remain in effect.

  • Our failure to enforce any provision shall not be deemed a waiver.

  • This Agreement shall bind and inure to the benefit of the parties and their successors and assigns.
