Qurvia, Inc. (“Qurvia,” “we,” “our,” or “us”) welcomes you. By visiting and using our website located at https://www.qurvia.ai (the “Website”), you agree to comply with and be bound by the following Terms of Use (the “Agreement”). Please also review our Privacy Policy, which is incorporated into this Agreement by reference. If you do not agree with these Terms of Use, you may not access or use the Website.

If you are using the Website on behalf of a company or other legal entity, you represent that you are authorized to bind that entity to this Agreement. In that case, “you” and “your” will apply to the entity.

We may modify these Terms of Use at any time. Updates will be posted on the Website, and continued use after changes are posted means you accept the revised terms.

In addition to this Website, Qurvia provides access to its proprietary software-as-a-service platform (the “Platform”). Use of the Platform is governed by the Qurvia Platform Terms of Use. If there is any conflict between these Terms of Use and the Platform Terms of Use, the Platform Terms of Use will control.

Please note: The sections titled “Binding Arbitration” and “Class Action Waiver” contain important legal rights and obligations.

1. No Medical Advice

The Website and its content are for informational purposes only. Qurvia does not provide medical care, advice, diagnosis, or treatment through the Website. You should always seek the advice of a qualified health provider for medical concerns and never rely solely on the Website. By using the Website, you acknowledge that no doctor-patient or provider-patient relationship is created with Qurvia. If you have a medical emergency, call 911 immediately.

2. Use of Personal Information

Your use of the Website may involve sharing personal information with us. Our collection and use of that information are governed by our Privacy Policy.

3. Intellectual Property

The Website and its content—including text, graphics, software, images, audio, and video (collectively, the “Content”)—are owned by Qurvia or our licensors and are protected by intellectual property laws.

4. User Guidelines

You agree not to:

  • Use the Website for unlawful purposes.

  • Collect data from the Website for use by competing businesses.

  • Impersonate another person or misrepresent your affiliation.

  • Attempt to reverse engineer or disassemble software or systems.

  • Interfere with Website operations, including through malware or hacking.

  • Circumvent or disable Website security features.

6. No Warranties; Limitation of Liability

To the maximum extent permitted by law:

  • Qurvia is not liable for indirect, incidental, or consequential damages, including lost profits or data.

  • Direct damages, if any, are limited to one hundred dollars ($100).

Some jurisdictions may not allow these exclusions, so parts of this section may not apply to you.

8. Indemnification

You agree to indemnify and hold harmless Qurvia, its officers, employees, agents, and affiliates from claims, damages, or expenses (including attorney’s fees) arising from:

9. Compliance with Laws

11. Binding Arbitration

Any dispute arising out of or related to this Agreement will be resolved by binding arbitration under the Federal Arbitration Act (FAA). Arbitration will be administered by JAMS under its rules. You waive the right to litigate disputes in court or to a jury trial, except you may bring eligible claims in small claims court.

12. Class Action Waiver

Disputes must be resolved on an individual basis. You may not bring claims as a plaintiff or class member in any class, consolidated, or representative action.

13. Equitable Relief

Qurvia may seek injunctive or equitable relief in court to protect its intellectual property or confidential information, without limiting other remedies.

14. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of California, without regard to conflict-of-laws rules. You consent to the exclusive jurisdiction of state and federal courts in California for disputes not subject to arbitration.

15. Miscellaneous

  • If any provision of this Agreement is found unenforceable, the remaining provisions remain in effect.

  • Failure to enforce any provision does not waive our rights.

  • This Agreement constitutes the entire understanding between you and Qurvia regarding the Website.

  • This Agreement benefits Qurvia’s successors and assigns.
